We are also experienced in the negotiation, review and preparation of real estate purchase agreements, escrow instructions, residential and commercial leases, lease options, promissory notes, deeds, deeds of trust, and other real estate documents.

- selection and formation of business entities such as corporations, general partnerships, limited partnerships, and limited liability companies (LLC)
- formation and representation of non-profit corporations and professional corporations
- providing ongoing business planning advice to corporate and business clients, assisting with corporate minutes, policy and procedure manuals, buy-sell agreements, business negotiations, employee and labor matters, construction law issues, business loans, security agreements, governmental issues and other business-related matters.
For years, our firm has represented clients in the buying or selling of a business, including the sale of business assets, bulk-sale transactions, and the sale of corporate shares and mergers. We are experienced at working with brokers, escrow holders and other professionals in such sales and are also equipped to handle transactions when there is no escrow or broker involvement.

As a result of our members’ experience in local government, our firm has developed an expertise in representing individuals and businesses that deal with governmental agencies – such as cities, school boards, special districts and county boards – in processing matter through the multiple levels of government.
We can provide assistance in contract negotiations, processing plans and permits, zoning issues, conditional use permits, variances, CEQA hearings and appeals before planning boards, commissions and committees, as well as city or county hearing boards.
